Gerry Brindisi is Vice President and Corporate Secretary of the American Stock Exchange and Corporate Secretary of The Amex Membership Corporation. She is responsible for general oversight and management of the Office of the Secretary with primary responsibility for three core areas: corporate governance, membership-related matters, and enforcement/regulation with respect to the dissemination of final disciplinary decision to the Amex Adjudicatory Council and the SEC, the processing of appeals and the filing of amendments to the Exchange’s registration statement.
Ms. Brindisi advises the chairman, governors and exchange officials and senior management regarding Board and committee procedures and related Constitutional requirements and oversees preparation for and completion of the Nominating Committee process, Annual Election and Special Meeting of the Membership. She joined the Amex in 1977.
Ms. Brindisi has been a member of the Society of Corporate Secretaries and Governance Professionals since 1990. She has also served on a number of Society committees including the Securities Industry Committee and the Advisory Committee of the New York Chapter and has been a member of the Corporate Practices Committee since 1995. She graduated from LaGuardia Community College.
