| Semiconductor Industry PLUS Basket Value Index Series II |
| The Semiconductor Industry PLUS Basket Value Index Series II (IIB) is an equal dollar weighted Index representing the value of the basket of common stocks underlying the Performance Leveraged Upside Securities ("PLUS") due July 15, 2006 Based on the Value of Common Stock of Fifteen Companies in the Semiconductor Industry, which is listed on the Amex under the ticker symbol "SBM". The issuers of the component stocks were selected from the semiconductor industry and include foreign and domestic entities having varying market capitalizations. The Semiconductor Industry PLUS Basket Value Index Series II was established with a base value of 5.00 at the close of trading on July 23, 2004.
